These Terms of Use (the “Terms”) constitute a binding contract between you and Reva Labs, the operator of GatherDey (“GatherDey,” “we,” “our,” and “us”). By accessing or using the Platform and any Content (defined below) obtained through the Platform in any capacity, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform in any way.
Changes to These Terms
We are always improving our Platform, so these Terms may need to change along with the Platform. Hence we reserve the right to change these Terms at any time. In case of any material change, we will notify users by posting a prominent notice on our site, sending an email, and/or some other means.
If you continue to use the Platform after any change to these Terms is effective, that means you agree to all of the changes in the updated Terms.
Privacy and Data Collection
GatherDey respects your privacy. On the Platform, we may collect users’ first names and email addresses to provide newsletters and communications. By submitting your email address, you consent to receive communications from us, and you may unsubscribe at any time. GatherDey also collects certain analytics-related data to improve the performance and user experience of the Platform. GatherDey does not collect sensitive or personally identifiable information (PII) beyond first names and email addresses unless otherwise specified in our Privacy Policy.
Usage of the Platform
As part of using the Platform, you are not required to sign up for an account at this time. However, you may provide your first name and email address if you opt into our newsletters. By submitting your information, you agree to provide accurate and up-to-date information about yourself and not on behalf of another person.
You also agree to use the Platform only for lawful purposes and in compliance with applicable laws. GatherDey is not responsible for your use of the Platform in any unlawful manner.
You represent and warrant that you are of legal age to form a binding contract. If you are using the platform on behalf of an organization, you warrant that you are authorized to bind that organization to these Terms.
Restrictions on Use
You agree not to use the Platform in any manner that:
(a) Infringes or violates the intellectual property rights or other rights of third parties;
(b) Violates any applicable law, including privacy, data security, or export control laws;
(c) Is fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
(d) Attempts to interfere with the functionality of the platform, including the use of automated means to access the platform;
(e) Involves crawling, scraping, or other forms of unauthorized data collection from the platform or its users;
(f) Circumvents or attempts to circumvent any platform restrictions or limitations.
GatherDey reserves the right to suspend or terminate access to the platform for any violations of these restrictions.
Rights to the Platform and Content
All content displayed or available on GatherDey, including text, graphics, images, and data (collectively, the “Content”), is protected by copyright, trademark, and other intellectual property laws. You agree to respect all copyright notices and other intellectual property rights associated with the Content.
You may not use, copy, reproduce, distribute, or modify the Content for commercial purposes without prior written consent from GatherDey. Limited personal, non-commercial use of the Content is permitted, provided that you do not violate any rights of third parties or compete with the Platform.
GatherDey owns the Platform and all related intellectual property. You agree to not modify, create derivative works from, or exploit any aspect of the platform without authorization. Any unauthorized use of the Platform may result in termination of your access.
Use of Third-Party Content
GatherDey may provide access to listings or data provided by third-party businesses or communities. This third-party content is for informational purposes only, and GatherDey does not guarantee the accuracy, completeness, or reliability of such information. Users are encouraged to verify third-party content independently before engaging with any business or service.
GatherDey is not responsible for any interactions, transactions, or disputes between users and third-party entities.
All content, information, and listings displayed or transmitted through GatherDey are the sole responsibility of the third-party entities from whom such content originated. You access and use all information and content at your own risk. GatherDey does not warrant the accuracy, completeness, or reliability of any content or information and is not liable for any errors, omissions, or outcomes resulting from your use of or reliance on such content.
We have no obligation to monitor or control how you interpret or use the information displayed on the platform. GatherDey disclaims any responsibility for how users act or make decisions based on their exposure to content or listings. By using the platform, you release GatherDey from any liability related to the acquisition or use of content from the platform.
Responsibility for User Interactions
GatherDey does not facilitate interactions between users or third-party businesses beyond providing a discovery platform. We do not verify the identity of users or businesses with whom you may interact while using the platform, and we are not responsible for the actions or conduct of any user or third-party entity you engage with through the platform.
Your interactions with businesses, organizations, or communities found through GatherDey, including any transactions or agreements you make, are solely between you and the third party. GatherDey is not responsible for any loss or damages resulting from your interactions with third-party businesses or communities. We encourage you to perform due diligence and take necessary precautions before engaging with any third party.
Third-Party Services
GatherDey may contain links or references to third-party websites, services, or content not controlled or operated by GatherDey. These links are provided for informational purposes only and do not imply an endorsement or affiliation with third-party entities. By accessing these third-party services, you acknowledge and accept that GatherDey is not responsible for the content, accuracy, privacy policies, or practices of such third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third-party entities. GatherDey disclaims any liability arising from your access to or use of third-party services.
Dispute Resolution
In the event of any dispute between you and a third-party entity or another user, GatherDey is not obligated to become involved in resolving the dispute. By using the platform, you release GatherDey and its affiliates, directors, officers, agents, and employees from any claims, damages, or liabilities related to such disputes.
Limitation of Liability
To the fullest extent permitted by law, GatherDey disclaims all warranties, express or implied, regarding the accuracy, reliability, and availability of the Platform or the listings provided. GatherDey shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Platform or reliance on the information contained therein.
You acknowledge that any engagement with third-party businesses or communities listed on GatherDey is at your own risk. GatherDey is not responsible for any transactions, agreements, or interactions that occur between you and third-party entities. We do not make any representations or warranties concerning the quality or legality of products, services, or communities found through the Platform.
Changes to the Platform
We are constantly improving and evolving the GatherDey platform to better serve our users. We reserve the right to modify, update, suspend, or discontinue any part of the platform at any time, with or without notice. This may include adding or removing features, restricting access to parts or all of the platform, or imposing limits on certain functionalities.
While we will make reasonable efforts to notify users when significant changes are made that may adversely affect their experience, it may not always be possible to provide advance notice. We also reserve the right to remove or modify any content or listings on the platform at our discretion, particularly if we believe they violate these Terms.
Cost and Charges
Currently, the GatherDey platform is free to use. However, we reserve the right to introduce fees for certain features or services in the future. If any charges are introduced, we will provide users with notice, either through an announcement on our platform or via email. Your continued use of the Platform after such notice will signify your acceptance of the new or revised fees.
Termination
You are free to stop using the Platform at any time. Since there is currently no user account system in place, there is no need for cancellation steps. However, if you are subscribed to our newsletter, you may unsubscribe at any time via the provided link in the emails.
GatherDey reserves the right to suspend or terminate access to the platform for any user who violates these Terms or engages in prohibited activities. Termination of access does not affect your obligations that arise before termination, including any legal responsibilities.
Certain provisions in these Terms, such as limitations of liability, intellectual property rights, and disclaimers, will continue to apply even after you stop using the platform or if access is terminated.
Intellectual Property
All content on the GatherDey platform, including but not limited to text, images, logos, and software, is the intellectual property of GatherDey or our licensors. You are not permitted to copy, reproduce, distribute, or otherwise exploit any content from the platform without prior written consent from GatherDey. All rights reserved.
You are permitted to use the platform for personal and non-commercial purposes only. Unauthorized use of the platform, including any attempts to reverse-engineer or copy its underlying code, is prohibited.
Warranty Disclaimer
GatherDey provides the Platform and all content contained within it on an “as-is” and “as-available” basis, without any warranties of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or that the platform will be uninterrupted, error-free, or secure.
GatherDey makes no representations or warranties about the accuracy, completeness, legality, or reliability of any content or third-party listings found through the platform.
We do not endorse or recommend any products, services, or communities listed on the platform. Any use of or reliance on such information is at your own risk.
Limitation of Liability
To the fullest extent permitted by law, GatherDey shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to lost profits, goodwill, data loss, or damages resulting from your use of or inability to use the platform, even if GatherDey has been advised of the possibility of such damages.
GatherDey’s total liability for any claims related to your use of the platform will not exceed the amount you have paid (if any) to GatherDey in the past twelve months for the use of the platform, or $100, whichever is greater.
Indemnity
You agree to indemnify, defend, and hold harmless GatherDey, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
• Your use of the platform;
• Your violation of these Terms;
• Your interaction with any third-party businesses, services, or communities on GatherDey.
Assignment
You may not assign or transfer these Terms or any of your rights or obligations under these Terms without prior written consent from GatherDey. GatherDey may freely assign or transfer these Terms without your consent.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for the resolution of any disputes arising from or related to these Terms or your use of the Platform.
Third-Party Trademarks
All third-party trademarks, names, logos, and designs used or referenced on GatherDey are the property of their respective owners. GatherDey does not imply any affiliation, endorsement, or sponsorship of products or services by using these trademarks unless explicitly stated.
Safe Harbor Statement
Any statements made by GatherDey regarding new platform features, services, or functionality are intended for informational purposes only and do not constitute a binding commitment. The development, release, and timing of any features or services remain at the sole discretion of GatherDey.
Miscellaneous
You are responsible for complying with all applicable laws and regulations related to your use of GatherDey. The failure of either party to enforce any right under these Terms will not be deemed a waiver of any future rights. If any provision of these Terms is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, along with our Privacy Policy, represent the entire agreement between you and GatherDey regarding your use of the platform. No other agreements, written or oral, shall supersede these Terms unless explicitly agreed to in writing by both parties.
You acknowledge that by using GatherDey, you are not entering into a partnership, joint venture, or employment relationship with GatherDey, and you have no authority to bind GatherDey in any respect.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms will remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely reflects the original intent of the invalid provision.
Entire Agreement
These Terms, along with our Privacy Policy, represent the entire agreement between you and GatherDey regarding your use of the platform. Any prior agreements or understandings are superseded by these Terms.
